1. About POSetu
POSetu is a software platform that helps companies and their dedicated vendors manage purchase orders, invoices, payments and related business workflows. POSetu provides software functionality and is not itself a party to the commercial transaction between a company and a vendor merely because the transaction is recorded or managed through the platform.
2. Acceptance of these Terms
By creating an account, using POSetu or purchasing a subscription, you agree to these Terms of Service and the policies referenced on the POSetu website. If you do not agree, you should not use the service.
3. Accounts and access
Users must provide accurate information and keep account credentials secure. You are responsible for activity performed through your account and should promptly contact POSetu Support if you believe that an account has been accessed without authorisation.
4. Customer-provided business data
Customers and vendors are responsible for the business information and documents they enter, upload or otherwise manage through POSetu.
- Users are responsible for the accuracy and completeness of their information.
- Users are responsible for having the necessary rights and permissions to upload or share documents and information.
- Users are responsible for their own tax, accounting, contractual and legal obligations.
- Users should not use POSetu to store or transmit information they are not authorised to use or disclose.
POSetu does not independently verify customer-provided business information and does not guarantee the accuracy, authenticity, legality or commercial validity of information supplied by users.
5. Sensitive personal and financial information
POSetu is designed for business workflow and information management. Users should not enter or upload Aadhaar card details, bank account numbers, dates of birth, individual PAN numbers or similar sensitive personal identification or banking information unless a particular feature expressly requires it and POSetu has provided an appropriate mechanism for doing so.
6. No financial transactions between companies and vendors
POSetu does not operate or process financial transactions between companies and vendors. It may record invoice payment status, payment dates or payment references for business purposes, but actual payments are made outside the POSetu platform.
POSetu does not act as a bank, payment gateway, payment processor, escrow service or financial intermediary for transactions between companies and vendors.
7. Informational and business-support purpose
POSetu provides tools to help companies and vendors organize, record, manage and view business information for day-to-day business operations. The platform is an operational business-support tool and should not be treated as a statutory accounting, tax, financial, audit or legally certified record system.
8. Audit trail and activity history
POSetu is not designed or represented as a complete audit-trail or statutory record-management system. The platform does not necessarily provide users with a complete historical record identifying who created, modified, restored, deleted or permanently deleted every purchase order, invoice or other business record, or a complete history of every change made to such information.
Users are responsible for maintaining any additional records, approvals, supporting documents or audit trails required for their business, contractual arrangements or applicable legal and regulatory requirements.
9. Commercial transactions
Agreements concerning goods, services, prices, delivery, quality, payment, taxes or other commercial matters remain between the relevant company and vendor. POSetu does not guarantee performance by either party.
10. Acceptable use
You must not:
- Use POSetu for unlawful or fraudulent activity.
- Attempt to gain unauthorised access to another account, company, vendor or data.
- Upload malicious code or intentionally interfere with the service.
- Misuse documents, information or access belonging to another user.
- Use the service in a way that violates applicable law or the rights of others.
11. Subscriptions
Vendor subscriptions are provided according to the plan and entitlements selected at the time of purchase. Subscription access may be restricted, suspended or expire according to the applicable plan and account status.
12. Service availability
We aim to keep POSetu available and reliable, but uninterrupted availability cannot be guaranteed. Maintenance, security events, infrastructure failures, third-party service interruptions and other circumstances may temporarily affect availability.
13. Intellectual property
The POSetu software, website design, branding, content and platform functionality are protected by applicable intellectual-property rights. These Terms do not transfer ownership of POSetu's software or materials to users. Users retain their rights in business information and documents they lawfully provide to the platform.
14. Suspension or termination
We may restrict or suspend access where reasonably necessary for security, misuse, non-payment, violation of these Terms, or other legitimate service or legal reasons. Users may stop using the service subject to any outstanding subscription or contractual obligations.
15. Limitation concerning customer data and transactions
To the extent permitted by applicable law, POSetu is not responsible for the accuracy, authenticity, legality, ownership or commercial outcome of customer-provided business information or for disputes arising directly between companies and vendors.
16. Changes to these Terms
We may update these Terms when the service, business model or applicable requirements change. Continued use after an updated version is published constitutes acceptance of the updated Terms to the extent permitted by law.
